This is a (rough) draft of a book chapter for an upcoming volume on landmark cases in English company law. For context, Cook v. Deeks is a well-known corporate law case that arose from Canada and was decided by the Judicial Committee of the Privy Council. It established an exception to the rule in Foss v. Harbottle for cases where controlling shareholders appropriate a corporate opportunity.

Camden Hutchison is an Assistant Professor at the Peter A. Allard School of Law, where his research and teaching focus on corporate transactions, comparative corporate governance, and the historical development of corporate law.
